Registration of Company Charges is a comprehensive guide to the charges registration system under Part 12 of the Companies Act 1985, setting out the objectives and background of charges registration and explaining the requirements and procedure. Particular issues include the distinction between charges requiring registration and those that do not, as well as analogous devices such as reservation of title clauses and the assignment of receivables. There is full discussion of priorities and the requirements for overseas companies.
This book also considers weaknesses in the registration regime, the inadequacies of the priority rules and addresses the Company Law Review Steering Group and Law Commission proposals for reform of the law relating to security interests including company charges.
