UNIDROIT Principles 2004 replaces the 1994 edition and contains 5 new chapters (Authority of Agents; Third Party Rights; Set-off; Assignment of Rights, Transfer of Obligations and Assignment of Contracts; Limitation Periods) as well as an expanded Preamble and new provisions on Inconsistent Behaviour and on Release by Agreement. Moreover wherever appropriate the 1994 edition of the Principles was adapted to meet the needs of electronic contracting.Prof M J Bonell explains the changes in the new edition in an article published in Uniform Law Review 2004 (pp 5-40).
